These Contract Builder Terms govern your use of the EasiMachines Contract Builder tool ("Contract Builder"), which is available to subscribers on the Casual plan and above. These terms supplement the Terms of Service and AI Features Disclaimer.

The EasiMachines Contract Builder generates template-based documents that are NOT legal advice and do NOT constitute a solicitor-client or attorney-client relationship. Generated contracts:
Are generic templates not tailored to any specific jurisdiction's laws;
May be incomplete, incorrect, or unenforceable in your location;
Should be reviewed by a qualified legal professional before use in any transaction;
Are provided as a convenience starting point only — not a final legal instrument.
For transactions above £5,000 / $6,000 / ₹500,000 or involving complex terms, always engage a qualified solicitor, advocate, or attorney.
1. What the Contract Builder Does
The Contract Builder is a technology tool that:
Pre-populates template fields using data already on the Platform — buyer name, seller name, equipment make/model/year/condition, price, listing location — to save manual entry time;
Provides standard clause templates covering basic sale terms, payment structure, delivery, as-is condition, and title transfer;
Generates a PDF document that can be downloaded by both buyer and seller;
Optional AI clause suggestions (on eligible plans) — generates additional clauses based on equipment type, value, and jurisdiction indicators.

2. Legal Limitations & Disclaimers
2.1 No Legal Advice
EasiMachines is a technology company, not a law firm. The Contract Builder does not provide legal advice and does not establish any professional relationship. No attorney-client privilege applies to any contract generated using this tool. You should not rely on generated contracts as a substitute for professional legal counsel.
2.2 Jurisdictional Limitations
Contract templates are written in general commercial English and are based on broadly accepted commercial sale principles. They have not been reviewed or approved by legal practitioners in any specific jurisdiction. Contract validity, enforceability, and required provisions vary significantly by country, state, and industry. Users are responsible for ensuring any contract complies with applicable local law before execution.
Cross-border transactions (where buyer and seller are in different countries) involve additional legal complexity including applicable law choice, dispute resolution jurisdiction, import/export licensing, currency controls, and VAT/GST. These templates do not adequately address all cross-border legal requirements.
2.3 Electronic Signatures
Where the Contract Builder includes an electronic signature feature, please note:
Electronic signature legality varies by jurisdiction — it is your responsibility to verify that e-signatures satisfy local law requirements for the type of transaction;
In India, electronic signatures must comply with the Information Technology Act 2000 and IT (Amended) Act 2008;
In the US, the E-SIGN Act and UETA generally allow electronic contracts for commercial transactions;
In the EU/UK, e-signatures must meet standards under eIDAS Regulation / UK Electronic Communications Act 2000 as applicable;
Certain contract types (e.g., involving real property, guarantees, court proceedings) may require wet signatures regardless of jurisdiction.
2.4 AI-Generated Clauses
Where AI-generated clause suggestions are used, additional limitations apply per our AI Features Disclaimer. AI-generated clauses may be legally incorrect, incomplete, or inappropriate for your transaction. All AI-generated clauses must be reviewed by a qualified legal professional before use.
3. Data Used in Generated Contracts
Contract generation uses the following data from the Platform:
Seller name, company name, and contact details from their seller profile;
Buyer name, company name, and contact details from their buyer profile;
Equipment details from the listing (make, model, year, condition, serial number if provided, price);
Any additional terms entered manually by the user in free-text fields.
You are responsible for reviewing all pre-populated data for accuracy before generating a contract.EasiMachines is not liable for contracts generated with incorrect data. PDF contracts are generated client-side and are not stored on EasiMachines' servers beyond temporary generation cache (cleared within 24 hours). You must download and securely store your own copy.

4. Intellectual Property in Generated Contracts
Once a contract is generated and downloaded:
The generated document is owned by the parties to the transaction (buyer and seller) — not by EasiMachines;
EasiMachines retains copyright in the underlying template structure and standard clauses;
You may not sublicense or commercially distribute the template structure as a standalone legal template product;
You may use and share generated contracts freely for their intended purpose — completing equipment transactions.
5. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, EASIMACHINES ACCEPTS ZERO LIABILITY FOR:
Any loss, damage, or legal liability arising from the use of contracts generated by the Contract Builder;
Contract invalidity, unenforceability, or incompleteness under any jurisdiction's laws;
Disputes between buyers and sellers that arise from or relate to generated contracts;
Incorrect data pre-populated from Platform profiles that was not corrected before contract generation;
AI-generated clause errors or omissions;
Failure to satisfy local electronic signature requirements.
6. Our Recommendations
Transactions under £2,000 / $2,500
Contract Builder template is suitable as a starting point.
Verify all pre-populated data carefully.
Both parties sign and retain a copy.
Transactions £2,000–£20,000
Use Contract Builder as a draft.
Have a local solicitor/attorney review before signing.
Ensure payment terms and delivery responsibilities are clear.
Transactions above £20,000 / $25,000
Strongly recommend engaging a qualified commercial solicitor.
Contract Builder template is a starting point only.
Consider specialist transport/logistics clauses.
Cross-border transactions (any value)
Always seek professional legal advice.
Ensure applicable law and dispute jurisdiction are explicitly chosen.
Verify import/export licensing requirements.
Address currency, VAT, and customs duty allocation.
